Insider Transactions is a weekly report of stock transactions involving officers and directors of publicly owned local companies. Stock trading by corporate insiders often is a bellwether of corporate health. Most insiders buy stock or exercise options to make a profit. And insiders may be selling stock for tax reasons, estate planning or cash needs.
The following insider transactions involving local companies were compiled by States News Service from reports to the Securities and Exchange Commission.
AMERICAN MANAGEMENT SYSTEMS
Charles O. Rossotti, president of Arlington-based American Management Systems, acquired 10,000 company common shares in an open-market purchase Dec. 14. Rossotti currently holds 716,722 common shares directly and 249,140 common shares indirectly.
Robert E. Long, a director of Cerberonics Inc. of Baileys Crossroads, acquired 1,000 shares of the company's class A common stock in an open-market purchase on Dec. 22. Long currently owns 1,500 class A common shares directly.
COMPUTER ENTRY SYSTEMS
Joseph J. Agro, a vice president of Computer Entry Systems of Silver Spring, purchased 1,400 company common shares in an open-market transaction Oct. 27. Agro now owns 1,500 common shares directly.
GANNETT CO. INC.
John J. Curley, president of Gannett Co. Inc., exercised options to acquire 11,217 common shares of the Arlington-based company between Dec. 1 and Dec. 10. Curley now holds 40,271 common shares directly.
KAY JEWELERS INC.
Joerg G. Bucherer, a director and major shareholder of Alexandria-based Kay Jewelers Inc., acquired 3,000 company common shares in open-market purchases on Dec. 2. Bucherer now holds 961,602 common shares directly.
MANOR CARE INC.
James A. MacCutcheon, a vice president of Manor Care Inc. of Silver Spring, purchased 1,000 company common shares on the open market between Dec. 1 and Dec. 14. MacCutcheon currently holds 2,000 common shares directly.
Leland C. Pillsbury, a vice president of Bethesda-based Marriott Corp., sold 1,500 company common shares on the open market on Dec. 24. Pillsbury now holds 3,320 common shares directly.
NORFOLK SOUTHERN CORP.
Edward G. Kreyling Jr., a shareholder of Norfolk Southern Corp., sold 4,400 common shares of the Norfolk-based company on the open market between Dec. 10 and Dec. 17. Kreyling now owns 6,728 common shares directly and 4,025 common shares indirectly.
James A. McCoy, a vice president of Penril Corp. of Rockville, purchased 2,000 common shares in the company on the open market between Dec. 22 and Dec. 30. McCoy currently holds 2,300 common shares directly.
SAGE SOFTWARE INC.
Arthur Marks, a director of Sage Software Inc., purchased 70,000 common shares of the Rockville-based company on the open market between Dec. 18 and Dec. 23. Marks now holds 306 common shares directly and 159,944 common shares indirectly.
USAIR GROUP INC.
William G. McGee, a director of Arlington-based USAir Group Inc., purchased 800 company common shares in an open-market transaction on Dec. 1. McGee now owns 1,000 common shares directly.
