Insider Transactions is a weekly report of stock transactions involving officers and directors of publicly owned local companies.
Stock trading by corporate insiders often is a bellwether of corporate health. Most insiders buy stock or exercise options to make a profit. And insiders may be selling stock for tax reasons, estate planning or cash needs.
The following insider transactions involving regional companies were compiled by States News Service from reports to the Securities and Exchange Commission.
CHEUNG LABORATORIES INC.
Augustine Y. Cheung, chairman of Cheung Laboratories Inc. of Columbia, Md., acquired 10,069 common shares through an exchange on April 10 at 25 cents each. Cheung now owns 5.01 million common shares directly.
President Verle D. Blaha acquired 13,385 shares, also through an exchange, between April 10 and April 26 for the same price. Blaha currently holds 398,836 shares directly and 42,000 shares indirectly.
Dennis Smith, a vice president, received 5,669 shares through an April 10 exchange, also at 25 cents each. He now owns 29,838 shares directly and 2,000 shares indirectly.
EA ENGINEERING SCIENCE AND TECHNOLOGY INC.
Gerald J. Lauer, an officer and director of EA Engineering Science & Technology Inc. of Hunt Valley, Md., received $9.50 for each of 14,000 common shares on the open market from May 7 to May 16. Lauer currently holds 233,550 shares directly.
GROWTH STOCK OUTLOOK TRUST INC.
Charles W. Allmon, an affiliate of an investment adviser of Growth Stock Outlook Trust Inc., bought 7,000 common shares of the Bethesda company from May 16 to May 21 at $9.50 each. Allmon now holds 59,507 shares directly and 64,445 shares indirectly.
IGENE BIOTECHNOLOGY INC.
Dow Chemical Co., a beneficial owner of Igene Biotechnology Inc., acquired 26,667 common shares of the Columbia, Md.-based company on April 12 at $2.25 each. Dow currently holds that number of shares directly.
JAMES RIVER CORP.
Robert C. Williams, president of Richmond-based James River Corp., made an April 29 stock plan purchase of 1,045 common shares for an undisclosed amount. Williams currently owns 505,474 shares directly and 20,970 shares indirectly.
William R. Tiefel, a vice president of Marriott Corp. of Bethesda, bought 10,000 common shares through a stock plan on Feb. 16 for an undisclosed amount and now holds 55,886 shares directly.
NICHOLAS APPLEGATE GROWTH EQUITY FUND
Nicholas Applegate Capital Management, an investment advisor to Nicholas Applegate Growth Equity Fund of Washington, exercised rights for 117,500 common shares on May 7 at $10 each. Applegate Capital Management now holds 587,500 shares indirectly.
PHP HEALTHCARE CORP.
CHR Investment #1 Inc., a beneficial owner of PHP Healthcare Corp. of Alexandria, disposed of 50,973 common shares on April 30 at $8.66 each. CHR still owns 392,806 shares directly.
Gwain H. Gillespie, a vice president of Unum Corp. of Annapolis, bought 5,000 company common shares on May 3 at $45.50 each. Gillespie currently holds 4,300 shares directly and 4,756 shares indirectly.
