Allied Capital Corp. of Washington put up $127 million to finance a management-led recapitalization of Meineke Car Care Centers Inc. of Charlotte. Allied bought senior debt, second-lien debt, subordinated notes and nonvoting common equity. Meineke was spun off from its parent company in a management-led buyout in 2003 with the financial backing of Carousel Capital of Charlotte and Halifax Group of Washington. Meineke franchises nearly 900 auto maintenance shops in 47 states and eight countries.
Current Analysis Inc., a Sterling "corporate research and competitive business intelligence gathering" company, sold $7.47 million in Series D convertible preferred stock to 17 investors, according to an SEC filing. Among the beneficial owners are Apex Investment Partners of Chicago, the Ocean Fund of the Netherlands, Tritech Partners of Baltimore, North Hill Ventures of Boston and Inflection Point Ventures of Wellesley, Mass.
ObjectVideo Inc. of Reston, which makes of software for video surveillance devices, sold a $600,000 promissory note to one investor, according to an SEC filing. Among ObjectVideo's equity backers are chief executive Raul Fernandez and venture firms Novak Biddle Venture Partners of Bethesda and ABS Ventures in Baltimore.
InfoEther Inc., a Herndon software company, sold $750,000 in common stock to five investors, according to an SEC filing. Among the beneficial owners of InfoEther is Inflection Point Ventures.
Vocus Inc. of Lanham, a provider of software for the public relations industry, registered with the SEC to sell $40 million in stock in an initial public offering. The company is partially owned by Edison Venture Fund, Lazard Techno- logy Partners and Sterling Venture Partners. Thomas Weisel Partners and RBC Capital Markets are managing the IPO, backed up by Wachovia Securities and William Blair & Co.
Comstock Homebuilding Companies of Reston raised $56.4 million in gross proceeds from a secondary offering of 3.2 million shares of common stock. The company went public last year. Banc of America Securities and BB&T Capital Markets were joint lead managers of the offering. Robert W. Baird & Co. and Ferris, Baker Watts Inc. were co-managers.
